Luris provides suitable templates for sharing or receiving confidential information or material. Below are links to the templates and model agreements that are used by Leiden University and Leiden University Medical Center (LUMC). Leiden University templates

Confidentiality agreement (CDA/NDA)

This form template is a standard secrecy agreement wherein two parties give each other confidential information which may only be used for discussing whether some form of collaboration between them. The information is to be kept confidential (unless exempt, detailed in the agreement). It is often used by parties who want to investigate whether a closer relationship / project / collaboration is a good idea. 

Material Transfer Agreement (MTA)

This form template is used for providing or receiving material for academic research. It is usually used to acquire access to materials which are proprietary or unique. It is not suitable for buying or selling material as it restricts the recipient in what the material is used for and by whom. 

Request for Approval (RfA) 

This is an internal Leiden University form intended to facilitate the execution of agreements with third parties in accordance with the regulations on delegation (who is allowed to sign the contract) as may be found on page 12 of the regulations Working for third parties (English), Werken voor derden (Dutch). Please review the regulation rules for further details. It is used to explain to the university officer signing on behalf of the university what the contract is about and that it is desirable that the agreement will be executed by of the university.

Leiden University Medical Center templates

Confidentiality Agreement (CDN/NDA) 

This form template is a standard confidentiality agreement wherein two parties give each other confidential information which may only be used for a pre-defined purpose. The information is to be kept confidential (unless exempt, detailed in the agreement). It is often used by parties who want to investigate whether a closer relationship / project / collaboration is a good idea.

Material Transfer Agreement (MTA)

This form template is used for providing or receiving material for academic research. It is usually used to grant access to materials which are proprietary or unique. It is not suitable for providing material on a commercial basis as it restricts the recipient in what the material is used for and by whom. The provisions in this template agreement are also suitable if LUMC is the recipient of material.
